These Terms and Conditions (“Terms”) govern your access to and use of BioBoax, our multi‑user digital business card builder SaaS, including all related websites, APIs, and services (the “Service”). By creating an account or using BioBoax, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Definitions

• “BioBoax”, “we”, “us”, “our” – the operator of the Service, BioBoax.
• “User”, “you”, “your” – any individual or entity using the Service.
• “Account” – your registered user account on BioBoax.
• “Content” – any data, text, images, logos, videos, links, and materials you upload or create in the Service (including vCards).

2. Eligibility

You must:

• Be at least 18 years old, or the age of majority in your jurisdiction;
• Have legal authority to bind your organization (for business accounts);
• Use the Service in compliance with these Terms and applicable laws.

3. Account Registration and Security

• You must provide accurate, complete, and up‑to‑date information during registration.
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
• Notify us immediately of any unauthorized access or security breach.
• ​

We may suspend or terminate accounts that provide false information or breach these Terms.

4. Service Description

BioBoax provides a SaaS platform to:

• Create and manage digital business cards (vCards);
• Configure templates, themes, domains/subdomains (if enabled), QR codes, NFC links, and contactless sharing;
• Manage services, business hours, testimonials, media, and social links;
• Receive enquiries, appointments, and leads through vCard forms;
• Subscribe to different paid plans with varying limits and features.

Specific features available to you depend on your chosen plan.

5. Plans, Billing, and Free Trial

• BioBoax may offer free and paid subscription plans with different quotas and features.
• A free trial may be available for certain plans to allow you to test the Service before paying.

• By selecting a paid plan, you authorize us or our payment provider to charge your chosen payment method on a recurring basis (monthly, yearly, or as specified).
• Subscription renews automatically until cancelled in your account or through support.
• ​

Any applicable taxes (e.g., GST) will be added as required by law.

6. No Refund Policy

Because BioBoax provides a free trial so that you can fully evaluate the Service before subscribing, all payments are final and non‑refundable once a subscription is activated or renewed.

• No refunds for partial months/years of service.
• No refunds for downgrades, unused features, or unused time on the subscription.
• No refunds due to account suspension or termination related to your violation of these Terms.

You can cancel future renewals at any time, but previous charges will not be refunded.

7. User Content and Responsibilities

You are solely responsible for all Content you create, upload, or share via BioBoax, including vCard data and media. You agree:

• Not to upload or share content that is illegal, harmful, defamatory, obscene, hateful, or otherwise objectionable;
• Not to infringe any intellectual property, privacy, or other rights;
• Not to upload malware, viruses, or malicious code;
• Not to use BioBoax for spam, phishing, or abusive marketing.

You grant BioBoax a non‑exclusive, worldwide license to host, display, and process your Content solely for providing and improving the Service.

We may remove or disable access to Content that violates these Terms or applicable law.

8. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to access the source code (except where permitted by law);
• Circumvent security, quotas, or usage limits;
• Resell, sublicense, or provide the Service to third parties except as permitted by your plan and the platform’s intended multi‑tenant features;

• Use automated tools to scrape or harvest data without our prior written consent;
• Use the Service in violation of any applicable laws, including data protection and anti‑spam laws.

9. Intellectual Property

• The BioBoax platform, design, trademarks, logos, and underlying software are owned or licensed by us and protected by copyright and other intellectual property laws.

• You may use the Service only as permitted by these Terms; no rights are granted except as expressly stated.
• You retain ownership of your Content; we do not claim ownership over it.

10. Service Availability and Modifications

We strive to keep BioBoax online and functional but:

• We do not guarantee uninterrupted or error‑free operation.
• We may add, modify, or remove features or plans, including pricing changes, with reasonable notice where required.

• We may suspend the Service for maintenance, security, or legal reasons.

If you do not agree with material changes, you may stop using the Service and cancel your subscription.

11. Termination

You may terminate your account at any time via the dashboard or by contacting support.

We may suspend or terminate your account with or without notice if:

• You violate these Terms or applicable laws;
• You engage in fraudulent or abusive practices;
• We are required to do so by law or court order.

Upon termination:

• Your access to the Service and Content may be disabled;
• We may retain certain data as required by law or for legitimate business purposes;
• No refunds will be provided, subject to our No Refund Policy.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis.

• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
• We do not warrant that the Service will be uninterrupted, secure, or error‑free, or that defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by law:

• BioBoax and its owners, employees, and affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Service.
• Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid to us for the Service during the 3 months preceding the claim.

Some jurisdictions do not allow certain limitations, so the above may not apply fully to you.

14. Indemnification

You agree to indemnify and hold harmless BioBoax, its owners, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service;
• Your Content;
• Your violation of these Terms or any law;
• Your infringement of any third‑party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India without regard to conflict of laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in India (or a specific city you later define).

16. Changes to the Terms

We may update these Terms periodically. The “Last updated” date will change, and where required, we will notify you by email or in‑app notice. Continued use of the Service after changes indicates your acceptance of the updated Terms.
